    \n
  1. Identity\n of the Service Provider:
    \n E.C.P. Financials Ltd., Company No. 511089526 (hereinafter: the\n \u201cCompany\u201d).<\/o:p><\/span><\/li>\n
  2. Nature of\n the Service:
    \n Provision of payment management services that will allow the customer to\n maintain an account with the Company into which funds may be deposited and\n from which funds may be withdrawn or transferred (hereinafter: the\n \u201cServices\u201d).<\/o:p><\/span><\/li>\n
  3. Service\n Conditions:
    \n The provision of the Services is subject to completion of the\n registration, verification, and identification process, the approval of\n which is at the sole and absolute discretion of the Company. The Services\n are also subject to the customer complying with the Company\u2019s instructions\n and guidelines when performing actions in the account.<\/o:p><\/span><\/li>\n
  4. Debit and\n Credit Timing:
    \n A deposit (less any applicable fee depending on the type of deposit) will\n be credited to the user\u2019s personal account within up to two (2) business\n days. Deposits made via a payment card or by loading a prepaid card will\n be credited immediately. Withdrawals by any method (other than cash\n withdrawals) will be debited immediately upon submission of the withdrawal\n instruction, executed as soon as possible, and completed within up to two\n (2) business days. In the case of a withdrawal to the customer\u2019s bank account\n or payment card, the crediting time will also depend on the terms and\n operational characteristics of the receiving institution. In the case of\n receiving a payment from the personal account of another account holder,\n the customer\u2019s personal account will be credited immediately after the\n customer confirms consent to the transaction.<\/o:p><\/span><\/li>\n
  5. Service\n Fees:
    \n The customer shall pay the Company fees for the use of the payment\n management service at the rates specified in the tariff attached to the\n agreement, as updated from time to time.<\/o:p><\/span><\/li>\n
  6. Risks:
    \n The risks associated with the Services relate to the customer\u2019s obligation\n to keep identification details, essential security components, and strong\n authentication details confidential and not disclose them to any third\n party, as well as the customer\u2019s obligation to provide accurate details\n when performing transactions in the account.<\/o:p><\/span><\/li>\n
  7. Waiver of\n Confidentiality and Privacy Protection:
    \n The Company may provide any information regarding the personal account\n and\/or the user to any entity, including banks or credit card companies,\n upon their request, for the purpose of operating and providing the\n Services. The Company may also contact a credit bureau to request a credit\n report regarding the customer.<\/o:p><\/span><\/li>\n
  8. Changes to\n the Agreement:
    \n The Company may, at its discretion, amend the terms of the agreement from\n time to time. Any such change will take effect within 14 days from the\n date notice is given to the user, except for changes relating to tariffs\n and fees, which will take effect within 7 days.<\/o:p><\/span><\/li>\n
  9. Term of\n Engagement:
    \n The engagement will commence upon the Company\u2019s written approval and will\n remain in effect for an unlimited period. The Company is under no\n obligation to provide services to any applicant, even if the applicant has\n completed the registration, verification, and identification process and\n has signed or otherwise approved this agreement. The decision in this\n matter is at the Company\u2019s sole and absolute discretion.<\/o:p><\/span><\/li>\n
  10. Termination\n of Engagement:
    \n The customer may terminate the engagement at any time by written notice,\n within one (1) business day from the date on which the customer completes\n all actions required to terminate the engagement and subject to applicable\n law, in accordance with the provisions of the agreement and its\n appendices. The Company may terminate the engagement upon 45 days\u2019 prior\n notice, or upon shorter notice in exceptional circumstances that justify\n such action, as detailed in the agreement and its appendices.<\/o:p><\/span><\/li>\n
  11. Liability\n for the Service:
    \n The customer releases the Company from any liability for damage, loss,\n expenses, or payments that may be incurred by the customer, directly or\n indirectly, in the cases specified in the agreement and its appendices.<\/o:p><\/span><\/li>\n<\/ol>\n\n<\/div>

     <\/span><\/u><\/b><\/p>

    Whereas<\/span><\/b>          The client requested the company, as\ndefined below, to provide him with Payment Management Services as detailed in\nthis Agreement; and<\/o:p><\/span><\/p>

    Whereas<\/span><\/b>          The company agreed to provide the\nclient with Payment Management Services, subject to the provisions of this\nAgreement and any law;<\/o:p><\/span><\/p>

    Therefore,\nit was agreed and stipulated between the parties as follows:<\/o:p><\/span><\/b><\/p>

    1.             \n<\/span><\/span><\/b><\/span>The introduction to this Agreement\ncomprises an integral part thereof.<\/o:p><\/span><\/p>

     <\/span><\/p>

    2.             \n<\/span><\/span><\/b><\/span>Definitions<\/o:p><\/span><\/b><\/p>

    2.1.       \n<\/span><\/span><\/span>The company \u2013 <\/span><\/b>ICP Finances\nLtd., <\/span>Com. No. 511089526<\/o:p><\/span><\/p>

    2.2.       \n<\/span><\/span><\/span>The personal account <\/span><\/b>– A personal\naccount managed for the client by the company and intended for the client’s use\nin Israel and overseas, in accordance with the provisions of this Agreement.\nThe personal account includes a variable balance through payments to and from\nthe account.<\/o:p><\/span><\/p>

    2.3.       \n<\/span><\/span><\/span>The application<\/span><\/b> – A designated\napplication of the company for activating the personal account management\nservices.<\/o:p><\/span><\/p>

    2.4.       \n<\/span><\/span><\/span>The website<\/span><\/b> – The company\u2019s\nwebsite at <\/span>www.mani.co.il<\/span><\/a>.<\/o:p><\/span><\/p>

    2.5.       \n<\/span><\/span><\/span>The user or client <\/span><\/b>– The client\nwho signed this Agreement, who has registered online to receive payment\nservices from the company, and is an individual adult, and when they see that\nit is a corporation registered in Israel.<\/o:p><\/span><\/p>

    2.6.       \n<\/span><\/span><\/span>Payment Services Law<\/span><\/b> – Payment\nServices Law 5779-2019<\/i>, including regulations enacted thereunder, as\namended from time to time, or any other law that will substitute it.<\/o:p><\/span><\/p>

    2.7.       \n<\/span><\/span><\/span>Supported telephone device<\/span><\/b> \u2013 A telephone\ndevice (including similar devices, such as a tablet), in which the application\ncan be installed, depending on its hardware version and operating system, and\nit matches its technological requirements, including having an Internet\nbrowsing protocol through the cellular network or via a wireless network and\nwhich is properly connected during use.<\/o:p><\/span><\/p>

    2.8.       \n<\/span><\/span><\/span>Essential component<\/span><\/b> – A\ncombination of a supported telephone device on which the application was\ninstalled, the personal code chosen by the client and\/or biometric means of\nidentification (such as the fingerprint or facial recognition), insofar as the\nsupported telephone device enables, and insofar as the client has chosen the\naforementioned identification method; or entering a one-time code that will be\nsent to the client\u2019s mobile phone.<\/o:p><\/span><\/p>

    2.9.       \n<\/span><\/span><\/span>Enhanced verification detail<\/span><\/b> \u2013 The\nverification details that the company will determine from time to time, as\nthose that verify the client\u2019s identity with a high degree of certainty.\nCurrently, entering the personal code together with the use of a biometric\nmeans chosen by the user (facial or fingerprint recognition) or using a\none-time password on the supported phone device, will be deemed an enhanced\nverification detail.<\/o:p><\/span><\/p>

    2.10.    \n<\/span><\/span><\/span>Business day<\/span><\/b> – A day when\nmost of the company’s business operates and for which banking corporations\nusually conduct clearing of bank relays.<\/o:p><\/span><\/p>

    2.11.    \n<\/span><\/span><\/span>Prepaid card<\/span><\/b> – A prepaid card\nwith the Mani brand or another brand of the company, which was issued to the\nclient by Max IT Finance Ltd., insofar as issued.<\/o:p><\/span><\/p>

    2.12.    \n<\/span><\/span><\/span>Abuse<\/span><\/b> – Abuse of the\npersonal account, as defined in the Payment Services Law and in this Agreement.<\/o:p><\/span><\/p>

     <\/span><\/p>

    3.             \n<\/span><\/span><\/b><\/span>Registering and\nopening a personal account<\/o:p><\/span><\/b><\/p>

    3.1.       \n<\/span><\/span><\/span>After the user has registered to\nreceive payment services from the company, and after verification procedures,\nidentifying and knowing the client, which are required by law, and their\ncompletion to the company\u2019s satisfaction, the company will open a personal\naccount in the user\u2019s name. The personal account will be identified by the\nmobile phone number with which the user registered for the service and his\nidentification number.<\/o:p><\/span><\/p>

    3.2.       \n<\/span><\/span><\/span>The company is entitled to refrain\nfrom providing the service to every registrant, even if completed a\nregistration, verification and identification procedure, and even if signed or\nconfirmed his consent to this Agreement. The decision in this regard is subject\nto the complete and absolute discretion of the company.<\/o:p><\/span><\/p>

    3.3.       \n<\/span><\/span><\/span>Each user may open one personal\naccount. The user will be the sole owner of the personal account, except in\ncases where the company expressly allowed otherwise.<\/o:p><\/span><\/p>

    3.4.       \n<\/span><\/span><\/span>The user declares that the funds in\nthe personal account will not be held by him for or for the benefit of another\nperson, and there will be no other person with the ability to direct the\nactivity in the finances and the account.<\/o:p><\/span><\/p>

    3.5.       \n<\/span><\/span><\/span>The user hereby declares and\nundertakes that the use of the payment services provided by the company will be\ncarried out by him in accordance with the law, in good faith and in an\nacceptable manner, and that the information he provides to the company in order\nto open the account and during its management will be complete, correct and\naccurate;<\/span> he\nwill not misuse the information or use it contrary to the law or public order or\nany unreasonable use or for purposes other than those for which the service is\nintended, including making illegal or prohibited money transfers or money\ntransfers in order to bypass the limitations regarding reporting in connection\nwith the prevention of money laundering and terrorist financing or\nimpersonating any other person or legal entity.<\/span> Without detracting from the company\u2019s\nrights, if the user violates such a prohibition, he will indemnify the company\nfor any damage it may incur as a result therefrom.<\/o:p><\/span><\/p>

     <\/span><\/p>

    4.             \n<\/span><\/span><\/b><\/span>Deposit and\nwithdrawal<\/o:p><\/span><\/b><\/p>

    4.1.       \n<\/span><\/span><\/span>Upon opening the personal account,\nthe user will be allowed to deposit funds thereinto and withdraw funds\ntherefrom, in accordance with the provisions of this Agreement. The user will\nbe able to receive information, at any time, regarding the status of the\naccount and its balance, by using the app on a supported phone.<\/o:p><\/span><\/p>

    4.2.       \n<\/span><\/span><\/span>A deposit to the account will be\nmade in one of the following ways: (a) transfer from a bank account owned by\nthe user; (a) payment using a personal debit card owned by the user; (c)\ndepositing cash at a designated loading point, out of a list to be published by\nthe company from time to time;<\/span> (d) unloading a loaded card (in accordance with the conditions and\nlimitations applicable to the use of the prepaid card); (e) transfer from\naccounts of other users with the company (subject to the approval of the\ntransferor and the existence of a sufficient balance in his account); or (f)\npayment or transfer to an account by a third party, even if he does not have an\naccount with the company by sending a link to the payer; (all the above options\nshall be hereinafter referred to as \u2013 \u201cDeposit\u201d<\/b>).<\/o:p><\/span><\/p>

    4.3.       \n<\/span><\/span><\/span>Deposit (minus a commission for the\noperation, as applicable according to the type of deposit) will be credited to\nthe user’s personal account within two business day. Notwithstanding the\naforementioned, a deposit by way of payment using a debit card or unloading a\nloaded card will be credited to the account immediately.<\/o:p><\/span><\/p>

    4.4.       \n<\/span><\/span><\/span>Withdrawal<\/span><\/u> from the\npersonal account will be possible in the following ways: (a) transfer to a\npersonal bank account owned by the user (subject to presenting a current\naccount management certificate); (b) crediting a personal debit card owned by\nthe user; (c) in cash at a designated loading point;<\/span> (d) loading a\nprepaid card (in accordance with the conditions and limitations applicable to\nthe use of the prepaid card); (e) transferring to another user\u2019s personal\naccount with the company, subject to the existence of a sufficient balance in\nthe transferring user\u2019s personal account;<\/span> or (f) transfer to a third party who does not have a personal\naccount with the company to his bank account in Israel or abroad or crediting\nhis credit card (this option is not active at the time of signing this\nAgreement, and its activation involves a separate notification on behalf of the\ncompany, including the provisions applicable thereto); (all the above options\nshall be hereinafter referred to as \u2013 \u201cWithdrawal\u201d<\/b>).<\/o:p><\/span><\/p>

    4.5.       \n<\/span><\/span><\/span>Withdrawal by any means (except cash\nwithdrawal) will be made as soon as possible and will be completed within two\nbusiness day, at the latest. In a withdrawal to the client\u2019s bank account or\ndebit card, the credit date will also depend on the conditions of the entity to\nwhich the funds were transferred and the characteristics of its activity.<\/o:p><\/span><\/p>

    4.6.       \n<\/span><\/span><\/span>Each withdrawal operation will be\ncharged to the personal account immediately upon giving the withdrawal\ninstruction by the user. If the user made an error in the withdrawal details,\nthe responsibility in this matter will apply only to him, and he will not have\nany claim against the company in this regard.<\/o:p><\/span><\/p>

    4.7.       \n<\/span><\/span><\/span>In the operation of transferring a\npayment to the personal account of another user in the company \u2013<\/o:p><\/span><\/p>

    (a)   \n<\/span><\/span><\/span>The user will be entitled to cancel\nthe operation, as long as the payee\u2019s consent has not been given to accept it,\nto the extent such consent is required, and the amount will be credited to the\nuser\u2019s personal account minus the operation fees that will be charged in any\ncase, if there were any. Canceling an operation involves contacting the company\nby phone during its normal operating hours.<\/o:p><\/span><\/p>

    (b)   \n<\/span><\/span><\/span>After the recipient of the payment\nhas confirmed his consent to receive it, insofar as his approval is required,\nthe user will not be able to cancel the operation in any way.<\/o:p><\/span><\/p>

    (c)   \n<\/span><\/span><\/span>If the recipient of the payment does\nnot confirm his consent to receive the payment within 3 business days from the\ndate of the instruction, the instruction will be canceled, and the amount will\nbe credited to the user\u2019s account at that time, less the operation fees that\nwill be charged in any case, if any. In the operation of receiving payment from\nanother user\u2019s personal account, the user will be credited in his personal\naccount immediately after confirming his consent to the operation.<\/o:p><\/span><\/p>

    4.8.       \n<\/span><\/span><\/span>Any operation in the personal\naccount will be carried out by way of giving an instruction by the user using\nthe app on a supported phone and require identification through the use of an\nessential component and an enhanced identification detail. The company will\ndeduct fees from the amount of the transfer or withdrawal, in accordance with\nits procedures at that time.<\/o:p><\/span><\/p>

    4.9.       \n<\/span><\/span><\/span>The user undertakes not to give\ninstructions to withdraw money, whose cumulative value exceeds the balance of\nthe accumulated amount in the account at that time, including the fees for\nthese operations.<\/o:p><\/span><\/p>

    4.10.    \n<\/span><\/span><\/span>Deposit and withdrawal amounts will\nnot exceed amounts determined by the company from time to time, and in any case\nwill not be less than NIS 1.<\/o:p><\/span><\/p>

    4.11.    \n<\/span><\/span><\/span>The company will be entitled, at any\ntime, to limit the activity on the personal account in various ways, including\nthe account limitation in deposit and withdrawal amounts. The list of\nlimitations is attached as an appendix to this Agreement, and it can change\naccording to the company’s discretion or the requirements of the law.<\/o:p><\/span><\/p>

    4.12.    \n<\/span><\/span><\/span>The company may, for reasonable\nreasons, delay or refuse to carry out any request to withdraw funds and to\ncancel a withdrawal made (while charging the user\u2019s personal account or another\nuser\u2019s account to which the transfer was made), in one of the following cases:<\/span>\n(a) if there is\na legal impediment; (b) if the operation is not according to the rules and\nprocedures used in the company; (c) for reasons related to company policy,\nincluding the risk management policy or business policy; (d) due to a violation\nof the terms of use or in violation of the provisions of this Agreement;<\/span>\n(e) if there is\ndoubt regarding the truth or validity of the instruction to perform the\noperation; (f) if the action does not match the user’s profile; (g) in the\nevent that the user or the operation itself does not meet the established\ncriteria for performing the service; (h) in the event that the balance in the\nuser’s personal account does not enable the operation to be carried out;<\/span>\n(i) in the\nevent that the company suspects that the operation is a suspicious transaction\naccording to the criteria it will establish from time to time, all according to\nits sole discretion. However, it is clarified that the company is not obligated\nto carry out such control or supervision, and that the execution of a\nwithdrawal order does not, in itself, constitute a confirmation by the company\nthat it meets the above conditions, and the execution of a withdrawal order\nshould not be relied upon as if the company confirmed that it is valid.<\/o:p><\/span><\/p>

    4.13.    \n<\/span><\/span><\/span>The user\u2019s funds deposited in the\npersonal account will be kept in a designated bank account of the company,\nwhose purpose is to retain client money, and which will be managed for the\nbenefit of this matter in trust and separately from other active accounts of the\ncompany.<\/o:p><\/span><\/p>

     <\/span><\/p>

    5.             \n<\/span><\/span><\/b><\/span>Other\noperations and credit in the personal account<\/o:p><\/span><\/b><\/p>

    5.1.       \n<\/span><\/span><\/span>The company will be entitled, by\nitself or through others, to grant credit to the user in order to make a\npayment or transfer from the account, according to its terms, as they shall be\nfrom time to time, and at its full and absolute discretion, and subject to the\nprovisions of the Fair Credit Law, 5753-1993<\/i>, and any other law\napplicable to the company’s activities in this regard.<\/o:p><\/span><\/p>

    5.2.       \n<\/span><\/span><\/span>Providing such credit will be\nsubject to a separate agreement between the user and the company.<\/o:p><\/span><\/p>

     <\/span><\/p>

    6.             \n<\/span><\/span><\/b><\/span>Termination of\nthe Agreement<\/o:p><\/span><\/b><\/p>

    6.1.       \n<\/span><\/span><\/span>The engagement period according to\nthis Agreement is not limited in time. The user will be entitled to notify the\ncompany in writing, at any time, of the termination of the Agreement in\naccordance with the terms of this Agreement.<\/span> The termination of the Agreement\nwill take effect within one business day from the date on which the user\ncompletes all the necessary operations for the termination of the Agreement and\nsubject to any law in this regard.<\/span> The required operations are in aggregate (a) withdrawal of any\nbalance from the account; (b) completion of any withdrawal or deposit\ninstruction that has not yet been completed at the time of the user’s\nnotification; (c) settlement of the user\u2019s debt to the company, insofar as\nthere was any, including for the provision of credit. A written notification\nwill be given through the website or via e-mail and will be received by the\ncompany on the following business day.<\/o:p><\/b><\/span><\/p>

    6.2.       \n<\/span><\/span><\/span>The user will be entitled to request\nto freeze the use of the personal account by giving a written notice on the\nwebsite or through the application, and if he did, the use will be frozen to\nprovide new loading and withdrawal instructions for the time period for which\nthe user requested the freeze, provided that it does not exceed 45 days.<\/span>\nIf the user\u2019s\ninstruction was not given regarding the freezing period, account activity will\nbe frozen for 14 days. Freezing the use of the personal account does not\ndetract from the company\u2019s rights according to the Agreement and does not\ncancel payment instructions that were given prior to the freezing order and\nhave not yet been completed.<\/o:p><\/span><\/p>

    6.3.       \n<\/span><\/span><\/span>The company will be entitled, at any\ntime, to terminate the Agreement, subject to advance notice of at least 45\ndays.<\/o:p><\/span><\/p>

    6.4.       \n<\/span><\/span><\/span>Notwithstanding the above, the\ncompany may terminate the Agreement immediately and permanently or freeze it\nfor a limited period, with a prior notice, upon the occurrence of one or more\nof the following exceptional cases:<\/span> (a) the user has passed away, has been declared legally\nincompetent, an order was issued against him to initiate insolvency\nproceedings, he was banned, arrested or left the country; (b) there is a fear\nof misuse, including fraud, related to the payment management service; (c) the\nuser’s statements provided to the company turned out to be incorrect or\ninaccurate;<\/span> (d)\none or more of the payment methods registered in the user’s account is\nincorrect, blocked or restricted for use in some way; (e) the user used the\nservice in violation of any law; (f) the user violated any undertaking he made\ntowards the company;<\/span> (g) in the opinion of the company, there is a reasonable fear that\nthe user will not be able to comply with his undertakings towards it; (h) in\nany other case, where at the company\u2019s discretion, the continued use of the\naccount service may cause damage to the user or the company.<\/o:p><\/span><\/p>

    6.5.       \n<\/span><\/span><\/span>The company will send the user a\nnotification regarding the termination of the Agreement or the freezing of the\nactivity in the personal account immediately and as close as possible before\nterminating or freezing the Agreement, unless the company believed that giving\nadvance notice could harm the purpose for which the termination of the\nAgreement or its freezing is required.<\/o:p><\/span><\/p>

    6.6.       \n<\/span><\/span><\/span>If there is a credit balance left in\nthe personal account after the termination of the Agreement, the company will\ntransfer the balance to the user\u2019s personal bank account (subject to presenting\na current account management certificate), unless a different withdrawal\ninstruction was given by him in accordance with the provisions of this\nAgreement.<\/span> In\nthe absence of a bank account or details thereabout, the company will be\nentitled to determine the manner of transferring the credit balance or retain\nit for the user, until the receiving a suitable instruction by him.<\/o:p><\/span><\/p>

    6.7.       \n<\/span><\/span><\/span>Upon the termination of the\nAgreement, the company will be exempt from returning to the user documents that\nhe provided it or signed on.<\/o:p><\/span><\/p>

     <\/span><\/p>

    7.             \n<\/span><\/span><\/b><\/span>Fees, taxes and\nexpenses<\/o:p><\/span><\/b><\/p>

    The user undertakes to pay, and the company will be entitled, from\ntime to time, to debit the account:<\/o:p><\/b><\/span><\/p>

    7.1.       \n<\/span><\/span><\/span>At the fees determined by the\ncompany, from time to time, and according to their rate from time to time,\naccording to the company\u2019s tariff.<\/o:p><\/span><\/p>

    7.2.       \n<\/span><\/span><\/span>In any tax, levy or other mandatory\npayment of any kind that will apply following the use of the payment management\nservice.<\/o:p><\/span><\/p>

    7.3.       \n<\/span><\/span><\/span>In commission, according to the\ncompany tariff customary in the company at that time, in respect of all the\nexpenses incurred by the company following the termination of the Agreement or\nthe freezing of the use of the personal account, including, reasonable legal\nexpenses.<\/o:p><\/span><\/p>

    7.4.       \n<\/span><\/span><\/span>In collection expenses incurred to\nthe company due to arrears or non-respect of the user\u2019s undertakings towards\nthe company, including handling fees, investigation expenses, deliveries, court\nexpenses and fees and execution.<\/o:p><\/span><\/p>

    7.5.       \n<\/span><\/span><\/span>The company will provide the client\nwith a tax invoice and\/or a receipt for payments made by the client, as\napplicable, which will be made available to the client through the website.<\/o:p><\/span><\/p>

     <\/o:p><\/span><\/p>

    8.             \n<\/span><\/span><\/b><\/span>Theft or loss,\nor misuse<\/o:p><\/span><\/b><\/p>

    8.1.       \n<\/span><\/span><\/span>Every payment operation in the\napplication requires the use of an essential component and in particular\nenhanced verification. The verification of the first operation on a telephone\ndevice is done by sending a text message to the telephone in which a SIM card\nis installed which is associated with the user\u2019s telephone number.<\/o:p><\/span><\/p>

    8.2.       \n<\/span><\/span><\/span>The user will immediately notify the\ncompany in any of the following cases: (a) loss or theft of any of the\nessential component parts; or (b) misuse of the personal account; and will\nprovide the company with all the details known to him in connection therewith,\nand he undertakes to act in accordance with the instructions given to him by\nthe company, including filing a police complaint, as required, and signing an\naffidavit.<\/span> In\nhis notification and statement, the user will provide details about the\nestimated location and time when the essential component was stolen or lost or\nwas last used, as well as a description of other stolen or lost objects that\nmay assist in the return of the essential component.<\/o:p><\/span><\/p>

    8.3.       \n<\/span><\/span><\/span>Liability for damage caused as a\nresult of misuse of the account will be limited in accordance with the\nprovisions of any law, as they may be from time to time, provided that the user\nacted in accordance with the provisions of the law. In accordance therewith,\nthe user will not be liable for misuse that will be made after the delivery of\nthe message. The company will be entitled to charge the user for any payment\nmade before the delivery of the notice, according to the amount stipulated by\nlaw.<\/o:p><\/span><\/p>

    8.4.       \n<\/span><\/span><\/span>Limitation of user liability will\nnot apply in case of fraudulent intent; in the aforementioned case, the user\nwill be solely liable for the misuse of the payment services.<\/o:p><\/span><\/p>

     <\/span><\/p>

    9.             \n<\/span><\/span><\/b><\/span>Data security<\/o:p><\/span><\/b><\/p>

    9.1.       \n<\/span><\/span><\/span>In order to prevent unauthorized use\nof the application or disclosure of information, the user must ensure that: (a)\nthe mobile device on which the application is installed is in the sole\npossession of the user and is protected by a lock code known only to him;<\/span>\nand (b) the\ncell phone device supports receiving and sending text messages. Do not install\nthe application if the user\u2019s phone does not comply with these conditions.<\/o:p><\/span><\/p>

    9.2.       \n<\/span><\/span><\/span>The user will choose a personal code\nin accordance with the company\u2019s instructions, as given from time to time,\nthrough which he can identify himself in order to perform operations in the\napplication and with the payment methods registered therein. The company will\nbe entitled to require the user to change the personal code from time to time\nor add additional means of identification to the personal code as a condition\nfor performing operations using the application.<\/o:p><\/span><\/p>

    9.3.       \n<\/span><\/span><\/span>The use of the service is personal,\nand no third party is allowed to use the personal balance or the username or\nthe personal code. The user agrees that he is responsible for any use that will\nbe made of his account in the application using his personal code, all subject\nto the provisions of the law.<\/o:p><\/span><\/p>

    9.4.       \n<\/span><\/span><\/span>The user undertakes to maintain the\nconfidentiality of the personal code; in addition, the user undertakes not to\nregister the personal code on the supported telephone device and keep it close\nto him and not give or reveal it to others under any circumstances. Violation\nof one of these undertakings will be deemed as providing the essential\ncomponent to another person and may exclude the user from liability for misuse\nof the personal account.<\/o:p><\/span><\/p>

     <\/span><\/p>

    10.         \n<\/span><\/span><\/b><\/span>Exemption from\nliability in special circumstances, indemnification and compensation<\/o:p><\/span><\/b><\/p>

    10.1.    \n<\/span><\/span><\/span>The user hereby releases the company\nfrom any liability for damage, loss, expenses and payments which may be caused\nto him, directly or indirectly, as a result of an error in the company\u2019s\ncomputers, banks or credit companies, including their peripheral equipment, or\nby any means of communication, or as a result of the absence of such devices.<\/o:p><\/span><\/p>

    10.2.    \n<\/span><\/span><\/span>The user hereby releases the company\nfrom any liability, in the event of termination or freezing of the Agreement by\nthe company, as a result of circumstances beyond the company\u2019s control or in\nthe event that the company did not give, limited or canceled authorization for\ntransactions and operations through the account, in accordance with this\nAgreement.<\/o:p><\/span><\/p>

    10.3.    \n<\/span><\/span><\/span>The user is aware that in order to\nprovide services to the user who is abroad or to enable transactions with\nservice providers abroad, the company is required to use service centers\nabroad. The company will not be liable for any error or omission or malfunction\nof such center. The aforementioned exemption will only apply to cases outside\nthe company’s control, and the company made a reasonable effort to prevent\nthem.<\/o:p><\/span><\/p>

    10.4.    \n<\/span><\/span><\/span>Notwithstanding the above, the\ncompany will not be exempt if the user proves that the aforementioned damage,\nloss or expense is the result of the company\u2019s negligence. It is also agreed\nthat in any case that the company is held liable for any reason whatsoever for\ndamage, loss, expense or payment, including as mentioned above, the company\u2019s\nliability will be limited to direct damage only.<\/o:p><\/span><\/p>

    10.5.    \n<\/span><\/span><\/span>The user will indemnify and\ncompensate the company for any reasonable loss, damage or expense (including\nattorney\u2019s fees), that will be accrued to the company as a result of any claim,\nprocedure or demand, deriving from a conflict between the user and a third\nparty in Israel or abroad. In addition, in the event of a claim, procedure or\ndemand as mentioned, the company will be entitled to initiate any step it deems\nappropriate.<\/o:p><\/span><\/p>

     <\/span><\/p>

    11.         \n<\/span><\/span><\/b><\/span>Collateral,\nlien and offset<\/o:p><\/span><\/b><\/p>

    11.1.    \n<\/span><\/span><\/span>For the purpose of ensuring the\nfulfillment of the user\u2019s obligations towards the company, the company will be\nentitled to condition the provision of payment services, at any time, on the\nreceipt of one or more of the following collaterals:<\/o:p><\/span><\/p>

    (A)    \n<\/span><\/span><\/span>Promissory note<\/span><\/u>: Insofar as a\npromissory note was delivered by the business, the business hereby agrees and\nauthorizes the company to fill in the promissory note the date of its payment\nand the amount of the debt as it appears in its books, to the extent the\ncompany requests to make use of the promissory note, at its full and absolute\ndiscretion. The company\u2019s authority to do so will expire at the end of 12\nmonths from the date of termination of this Agreement.<\/o:p><\/span><\/p>

    (B)    \n<\/span><\/span><\/span>Retention of balance<\/span><\/u>: The company\nwill be entitled to limit withdrawal instructions, so that after their\nexecution, a sufficient balance will remain in the account to pay all the user\u2019s\nobligations towards the company in respect of that instruction or in general.\nUnless otherwise notified, notice is hereby given to the user that the company\nwill act as stated in this section throughout the period of providing the\npayment services.<\/o:p><\/span><\/p>

    (C)    \n<\/span><\/span><\/span>Personal guarantee<\/span><\/u> of\nshareholders or office holders (for corporate clients only).<\/o:p><\/span><\/p>

    11.2.    \n<\/span><\/span><\/span>Lien and Offset<\/span><\/u>: The company\nwill have a lien on any property of the user in the company\u2019s possession,\nincluding a credit balance in the personal account, and an offsetting right\nregarding any amount due to the user from the company. This provision in the\nAgreement will constitute a notice of lien or an offset notice, as the case may\nbe, and no further notification will be required for their formation.<\/o:p><\/span><\/p>

     <\/span><\/p>

    12.         \n<\/span><\/span><\/b><\/span>Waiver of\nconfidentiality and privacy protection<\/o:p><\/span><\/b><\/p>

    12.1.    \n<\/span><\/span><\/span>The user agrees and confirms that\nthe company may, at any time, give to the banks or credit companies, at their\nrequest, any information regarding the personal account and\/or the user for the\npurpose of its operation, provision of service in connection therewith, etc.<\/o:p><\/span><\/p>

    12.2.    \n<\/span><\/span><\/span>The user hereby agrees and confirms\nthat, for collection purposes, the company will be entitled at any time to\nprovide any entity with details thereabout, and any entity will be entitled to\nprovide the company, at its request, any relevant information concerning the\nuser for this purpose.<\/o:p><\/span><\/p>

    12.3.    \n<\/span><\/span><\/span>The user confirms that he is aware\nthat the information provided by him is necessary to the company for the\npurpose of making decisions regarding the opening of the personal account and\nthe provision of payment services. The user declares that he is handing over\nthe information of his own free will and is under no legal obligation to do so.<\/span>\nThe user\nconfirms that he is aware that the information provided by him to the company\nwill be kept, in whole or in part, in databases, computerized or otherwise, at\nthe company or at other entities, in clearing activities, collection or any\nother activity required to provide the service to which the company is\nobligated according to this Agreement.<\/span> This provision will also apply to information provided by the user\nabout payer to a user who does not have an account with the company. The user\nconfirms that he is aware that the company may continue to hold such\ninformation even after the expiration of this Agreement for any reason, and he\nagrees therewith.<\/o:p><\/span><\/p>

    12.4.    \n<\/span><\/span><\/span>Subject to his consent to the\nrequest, the user confirms and agrees that the information provided by him to\nthe company and information about the operations done using the card will be\nused to offer him various consumer goods or services that he may be interested\nin, from time to time, and he authorizes the company to use the information for\nmarketing and direct mail purposes, subject to his rights according to the Protection\nof Privacy Law, 5741\u20131981<\/i>.<\/o:p><\/span><\/p>

    12.5.    \n<\/span><\/span><\/span>The user confirms that he was\ninformed that in accordance with the Credit Data Law, 5776-2016<\/i>, the\ncompany may be obliged to transfer information about him to a credit data\ndatabase operated by the Bank of Israel.<\/o:p><\/span><\/p>

    12.6.    \n<\/span><\/span><\/span>The company may contact a Credit\nBureau with a request for a credit score thereabout, as defined in Article 33\nof the Credit Data Law, 5776-2016<\/i>; and that for the purpose, the Credit\nBureau will contact the Bank of Israel to obtain data about the business from\nthe Bank of Israel’s central credit database. The user gives his consent to\nthis in advance, as required.<\/o:p><\/span><\/p>

     <\/span><\/p>

    13.         \n<\/span><\/span><\/b><\/span>Company records<\/o:p><\/span><\/b><\/p>

    13.1.    \n<\/span><\/span><\/span>The company\u2019s records in all matters\nrelating to this Agreement and the provision of the service, including\ninstructions, will constitute prima facie evidence; with regard to the duties\nand obligations of the user under this Agreement, the company’s records will be\nconsidered prima facie evidence in connection with his obligations towards the\ncompany.<\/o:p><\/span><\/p>

    13.2.    \n<\/span><\/span><\/span>The user hereby declares that he is\naware that telephone conversations with the company may be recorded and that\nthe recorded conversations may be used by the company for training and service\nimprovement purposes or for the purpose of verifying the correctness of the\ninformation provided, or as evidence in any dispute or legal proceeding between\nthe company and the user and\/or any third party.<\/span> The recording of the conversation\nwill be deemed evidence of the very existence of the conversation and its\ncontent. The company will act in the matter of recording telephone calls\naccording to the instructions of relevant regulatory bodies, as will be from\ntime to time. For the purposes of this section, “telephone call or\nmessage” – including a message or sending a message via the Internet or\ne-mail.<\/o:p><\/span><\/p>

     <\/span><\/p>

    14.         \n<\/span><\/span><\/b><\/span>General\nprovisions<\/o:p><\/span><\/b><\/p>

    14.1.    \n<\/span><\/span><\/span>Messages<\/span><\/u>: Any message\nto the user deriving from this Agreement will be given by the company in any\nway it deems fit at its discretion, including publication in a daily newspaper\nor by sending an electronic message, all subject to the law, if it applies or\nwill apply in this matter.<\/span> The user\u2019s address, including e-mail addresses, will be the address\nfor the service of mail or messages as mentioned. The user undertakes to inform\nthe company in writing of any change in his address. Any message sent to the\nuser according to the said address, will be deemed as having reached the user\nwithin 2 business days from the day it was sent, and if sent by e-mail, at the\ntime of its sending.<\/o:p><\/span><\/p>

    14.2.    \n<\/span><\/span><\/span>Headings<\/span><\/u>: The headings\nof the sections of this Agreement have been given for convenience purposes\nonly, and they should not be used for interpreting the terms of the Agreement.<\/o:p><\/span><\/p>

    14.3.    \n<\/span><\/span><\/span>Amending the terms of the Agreement<\/span><\/u>: The company\nwill be entitled, at its discretion, to amend the terms of the Agreement from\ntime to time. Any amendment will enter into force within 14 days from the day\nthe user is notified; however, amendments concerning rates and fees will enter\ninto force within 7 days.<\/o:p><\/span><\/p>

    14.4.    \n<\/span><\/span><\/span>Jurisdiction<\/span><\/u>: The exclusive\njurisdiction to discuss all matters relating to this Agreement will be\nexclusively for the competent courts in the Tel Aviv district or the Jerusalem\ndistrict.<\/o:p><\/span><\/p>

    14.5.    \n<\/span><\/span><\/span>In any operation on the client’s\nprepaid card according to the provisions of this Agreement, including a deposit\nby debiting the card or crediting it, the name of the company will appear in\nthe details of the operations that the client will receive from the issuer, as\nthe business with which the client made a transaction.<\/o:p><\/span><\/p>

    14.6.    \n<\/span><\/span><\/span>In this Agreement, masculine also\nmeans feminine and vice versa.<\/o:p><\/span><\/p>

     <\/span><\/p>

    15.         \n<\/span><\/span><\/b><\/span>Inquiries<\/o:p><\/span><\/b><\/p>

    15.1.    \n<\/span><\/span><\/span>Without detracting from any\nprovision in this Agreement, a complaint in any matter regarding the services\nprovided to the business can be submitted to the company’s Public Inquiries\nOfficer in one of the following ways: E-mail: pniot-tzibur@mani.co.il or by\nregular mail by delivery to 5 Kinneret St., Bnei Brak, Zip code 5126237.<\/o:p><\/span><\/span><\/p>
