Terms of Use Mani Website

General
1. The Website “www.mani.co.il” (hereinafter: “The Website”) is operated by ICP Finance Ltd.
(hereinafter: “The Company”).
2. The Services offered to you on this Website or as someone who wishes to be such, will be referred to
below and collectively as “The Services”. The Services will include payment management services
and/or operation of a prepaid Mani brand debit card which will be provided or marketed to you
through the Company or someone on its behalf or in collaboration therewith. The actual use of the
Services constitutes your consent to the Terms of Use detailed below; therefore, it is recommended
that you review them carefully. If you do not agree to any of the terms, you must immediately cease
from any action or use of the Website.
3. The Company reserves the right to amend and update the Terms of Use from time to time, and it will
be possible to view and review them on the Website at any time. The Company will announce such
an amendment in a notice to be appeared on the Website.
4. The Terms of Use do not detract from the payment services agreement, prepaid card holder
agreement or other Agreements and documents that you have signed or will sign or approve
(hereinafter: “The Agreements”) but comprise an addition thereto only. In accordance therewith, the
terms in the Terms of Use will have the same meaning as they have in the Agreements, unless
specifically written otherwise. In the event of a contradiction between the provisions of the Terms of
Use and the provisions of the Agreements or any thereof, the provisions of the Agreements shall
prevail.
5. The Company or anyone on its behalf or in collaboration therewith may have additional terms of use,
which will not detract therefrom but will only add to the conditions in these Terms of Use.
6. The Company reserves the right to add and subtract different services in the future as it deems fit.
The Company reserves the right not to provide certain services.
7. Advertisement that will appear on the Website from time to time, insofar as it appears, does not
constitute an offer or advice, and your personal data may not be taken into account, and it does not
constitute a recommendation or an opinion or a substitute for your independent judgment.
8. The provisions are worded in the masculine language for convenience purposes only; however, they
are addressed to both men and women.
Your undertakings when using the Website and Services
9. You undertake as follows:
    9.1. Not to impersonate any other person or legal entity.
    9.2. Not to use the Website for the purpose of receiving payment services if you are not at least 16
years old; at least 18 years old for the purpose of issuing a prepaid card; and at least 21 years
old for the purpose of receiving other Services offered by the Company.
     9.3. Not to make any illegal use of the Services.
     9.4. Not to use the Services for the purchase or sale of alcohol or dangerous drugs or medications
or pornography or for the purpose of gambling or prohibited games (including receiving

gambling money or prohibited games) or any other field that will be prohibited by the
Company.
    9.5. Not to prevent, interfere, or limit the use of the Website (including any other use other than
fair and reasonable use of the Website), inter alia, by uploading, sending or transmitting any
material containing any type of computer virus, or any other computer code.
     9.6. Avoid spreading spam to the servers through which the Services are activated.
     9.7. Not cause modification, processing, adaptation, sublicensing, translation, sale, performance of
reverse engineering operations, disassembly or reassembly of any of the parts of the code that
make up the Website, as well as actions as mentioned above regarding the hardware and
software that are in use for the provision of the Services.
     9.8. Not to place the Services, or any part thereof or any part of the Website, within a frame of
another website or as a mirror of another website or as part of another service.
      9.9. Not to use any robot, retrieval engine and information search or any other automatic or
manual tool which is designed to index, retrieve, and locate information in the Services or on
the Website, or such a tool which is designed to disclose the structure of the database and the
code in the Services or on the Website.
    9.10. Not to interfere in any other way or to interrupt the Services or the Website, including, by
interfering with the operations of the server and the network of computers connected to the
Services or the Website or the computer network connected thereto.
     9.11. Not to make any use of the Website or Services which constitutes a violation of copyrights or
intellectual property rights of the Company or of any entity.

Registration for Services
10. Some Services may be subject to prior registration, then the provisions listed below shall apply to the
registration.
11. During the registration for any of the Services, you may be required to choose a personal password
which will identify you when using which of the Services. In addition, in some cases you will be
asked to choose identification questions and provide the answer thereto. This action enables better
identification of you and safer use of Services.
12. When registering for debit/credit card services, you will be asked to provide credit card information
that is your private property; when registering for bank account debit/credit services, you will be
asked to present a bank account management certificate for an account that is owned by you.
13. Please take all measures to keep the password and the answers to the identifying questions secret,
and act in accordance with the Company's instructions as they will be from time to time, including
replacing the password with a random new password that is as difficult to guess as possible, as often
as the Company instructs you. The Company will not be held liable if you have given the password
to another or failed to keep it safe.
14. Registering for the Services also constitutes your permission for the Company to keep certain
information about you. The movements and actions performed through the Services may be
registered and documented by the Company. The use of this information and any other information
about you will be subject to the Company’s privacy policy detailed below. You will find additional
details thereabout in the framework of the Agreements.

15. You undertake to provide true, accurate, correct and complete information about yourself as
requested on the Website and update the information as provided by you in order to maintain its
correctness and integrity.
16. The Company reserves the right to suspend, cancel or refuse to provide the Services, all or some
therefrom, in any case of providing information that is not true, updated, complete or correct, during
the registration or thereafter, or if the Company has the probable cause to assume that this occurred.
Remedies
17. The Company will be entitled at any time and without prior notice to suspend, stop or delay the use
of the Services, upon the occurrence of one or more of the following cases:
    17.1. If there is concern that you have violated the provisions of these Terms of Use.
    17.2. If it believes that your use of the Services constitutes any financial risk or fraud or if there is a
reasonable fear thereof.
    17.3. If it believes that your actions may result in financial loss or payment or create legal liability
for you or it or anyone on its behalf.
17.4. In the event of other circumstances which are detailed in the Agreements to be signed by you.
Liability and risks
18. The Company’s systems are based on software, hardware and communication networks, and as such,
they are exposed to the risks typical of this type of system, including harmful software (viruses,
Trojan horses, etc.), eavesdropping, hacking, or impersonating the Company’s Website or any of the
other online fraud systems. The Company invests a lot of effort in protecting against these risks;
however, you should be aware that there is no possibility of blocking them completely, and there
may be damages or losses due to the realization of any of them.
19. Without detracting from the aforesaid in this agreement, the Company will be exempt from liability
for any damage, loss or expense that may be incurred by you, directly or indirectly, as a result of any
of these events or factors, and provided that those factors are not under the Company’s control, and
the Company made a reasonable effort to prevent them:
    19.1. Tampering with data or instructions, or non-execution or late execution of an instruction as a
result of any faults or disruptions in the communication lines or faulty electronic or
mechanical function, either with you, or with the Company, or with some third party through
whom the instructions and information are transmitted.
    19.2. Malfunction of any software or hardware in your possession, including any software or
hardware provided to you by a third party.
    19.3. Disclosure and revealing of information by you to any third party, other than according to the
provisions of the agreement or the Terms of Use.

20. In order to reduce the risk, you must adhere to the Company’s information security procedures. You
must also immediately notify the Company of any suspected misuse of your account or name. In
case of fear of revealing a personal password, you must proactively and immediately change the
password on the Website or with the help of customer service.

Privacy Policy
21. In order to use some of the Services comfortably and efficiently, you may be required to provide the
Company with several details about yourself. These details may include, but are not limited to, your
full name, email address, your date of birth, your gender, your address (including zip code), your
mobile phone number and identification number. You may also be asked to provide your credit card
information (hereinafter: “The Information”). It is possible that the details provided by you will be
verified against information about you that already exists with the Company or will be in its
possession or will be legally delivered thereto.
22. The Company deems the protection of your privacy very important and makes great efforts to
properly protect the information provided to it.
23. The Company's Privacy Policy can be amended from time to time. In any case where the Company
substantially amends this Policy, it will announce this through an appropriate message on the
Website or by sending an e-mail. The Privacy Policy also applies to the personally identifiable
information provided by you, as part of the service registration process, the personal information
transmitted by you while using the Services, as well as information collected about you while you
browse the Website or use the Services.
24. The Company automatically records on its servers or may record all the information received from
your browser or mobile phone or any other device, including your IP address, your location, as well
as all the pages on the website you visited. By agreeing to these Terms of Use, you express your
consent that such documentation will be performed by the Company.
25. As part of your registration for the Services you may be asked to conduct a remote identification
procedure by technological means. A request to register to receive the Services will also be
interpreted as your consent to the fact that the products of the identification procedure will be kept
by the Company, including (but not limited to) documents you will be asked to send, recording and
documentation of the process, documentation of live tests, voice statements, etc.
26. The Company may use the information collected about you, inter alia, for the following purposes, by
actually using the Website, you agree and authorize the Company to use as stated: (a) Information
security and fraud monitoring, including to prevent illegal or unauthorized use of the Services; (b)
Contacting you; (c) Statistical analysis of the information for the needs of the Company.
27. If you do not want the Company to make such use of the information collected about you, you are
requested not to use the Website and Services.
28. In addition, and subject to your express consent, the Company may use the information for the
purpose of sending marketing or advertising material to you or to the business, including by mail or
e-mail or by SMS messages either through WhatsApp messages or through an automatic dialing
system, or any other means of communication, inter alia, based on your location.
29. The Company will not sell or transfer the information about you, in whole or in part, to any third
party, without your express consent.
30. The Company will be entitled to disclose the information to any third parties subject to the following
conditions: The disclosure of the information or part thereof to the parties is necessary for the
provision of the Services and for the purposes of information security (including your identification)
and to prevent illegal or unauthorized use of the Services; if this is required by law or in legal
proceedings; in the event that the Company finds that your actions violate the Terms of Use or

Agreements or are carried out in order to commit fraud of any kind; in cases required by law, as well
as to parties related to the Services.
31. By agreeing to these Terms of Use (and as long as you don't change your browser settings to block
them) you allow the Company to implant cookies on your device (a file that is transferred to your
device by a web server, whose purpose is to allow the Company to identify you quickly and
efficiently).

Messages and updates
32. It is possible that messages and updates regarding the Services provided through the Services,
including advertising mail, will be sent to you via the electronic mail system, regular mail, SMS
messages, WhatsApp messages, through an automatic dialing system, or any other means of
communication, to the address or phone number that you specified in the registration form for the
Services or as part of the Agreements or any thereof.
33. The personal area on the Website will be used by you, inter alia, to view account statements, balance
data and additional information related to the Services you will receive from the Company, and your
joining the Company's Services constitutes consent to receive said information in this manner.

Customer Service
34. The Company’s customer service operates on Sunday-Thursday from 8:00 a.m. to 5:00 p.m. You can
contact customer service at any time, including in cases of technical faults on the Website, by phone

Termination of Service
35. If you wish to cancel or freeze use of the Services, in whole or in part, you can do this on the
Website or by contacting customer service at 03-6743344 or *4578.
36. The Company reserves the right to terminate the Services, all or some thereof, permanently or for a
limited period of time, with 45 days’ notice, except in exceptional cases where the termination
derives from the need to protect you or the Company; then, the Company will be entitled to
terminate the Services immediately.
37. Without detracting from the generality of the foregoing, the Company reserves the right to cancel
your permission to use the Services, all or some thereof, permanently or for a limited period of time,
including due to fear of misuse of the Services by you or by a third party.

Jurisdiction
38. The use of the Website and Services is subject to Israeli law only. Jurisdiction is given to the courts
in Tel Aviv-Yafo or Jerusalem only.
